About the position

Prudential is looking for a dynamic attorney to fill a high-profile position in located in Newark, New Jersey. The VP Corporate Counsel will be responsible for handling a full range of legal matters including representation of Pruco Securities, LLC, a retail broker/dealer and investment adviser. The ideal candidate will provide counsel on these matters.   The successful candidate will interact with members of senior management. Pruco offers insurance, advisory and other financial products to its customers and the ideal candidate will have experience working with these products. Additionally, the ideal candidate will have twelve to fifteen years of complex corporate, law firm and/or regulatory legal experience involving the laws related to the sale and distribution of securities, insurance, managed money and other advisory programs and services

Primary Duties and Responsibilities:

Providing thought leadership and support as a key member of the distribution legal team.

Address full range of issues related to investment advisory business.

Providing strategic advice to the business on new initiatives.

Interacting with senior business leaders.

Providing legal and regulatory advice and counsel to the retail broker-dealer with a concentration on variable annuities, insurance and mutual funds.

Representing and counseling insurers and broker-dealers before Federal and State Regulators, and Self-Regulatory Organizations.

Coordinating with Compliance and Risk Management Departments to provide legal analysis and counsel in connection with the sale and distribution of financial services products.

Keeping senior management and other personnel informed on pertinent legal and regulatory developments.

Perform special projects as assigned.

Some travel is required



Candidate will have 12 to 15 years of investment advisory, insurance and securities law experience;

Candidate must have an exceptional working knowledge of investment advisory laws and regulations, FINRA rules, insurance laws governing broker-dealers as well as life insurance and/or variable annuities.

Candidate must have exemplary analytical, practical problem solving, oral and written communication skills, as well as the capacity to work independently.

In depth experience with complex investment advisory products.

Candidate must have a JD degree from an accredited law school, and be admitted to practice law in New Jersey.

Candidate must have a solid academic background, be a self-starter and a team player. They should be detail-oriented and able to develop and implement new or enhanced processes for increasing the efficiency of regular responsibilities.

Candidate must be able to interface with all levels of management confidently and professionally and manage time effectively.
