Transaction Advisory Services Manager

Your key responsibilitiesM&A financial due diligence services within TRE encompass the strategic development and execution of an appropriate transaction structure, including the execution of financial due diligence on real estate platforms including real estate and hospitality entities and portfolios of properties. Our team works to understand key transaction issues for our real estate and hospitality clients as it relates to the quality of the Target’s financial information, earnings and balance sheet. We also assist clients by reviewing certain sections of the purchase agreements and assist in understanding potential post-closing transaction matters. The candidate would be expected to analyze a Target’s adjusted EBITDA / NOI / FFO or other relevant earnings metrics, debt and debt-like items and net working capital along with other profit drivers, trends, and assumptions of future performance, as well as real estate operating metrics including occupancy, rental rates, average daily rate (for hotels), CAM recovery ratios as well as other operating metrics.
  • Manage and participate in due diligence engagements related to acquisitions and dispositions of real estate and hospitality platforms by our clients including REITs, Hospitality companies, private equity funds, sovereign wealth funds and other foreign investors. Analyze financial/operational results of Target’s by reviewing audited financial statements & accounting records and conducting interviews with Target management. Prepare/evaluate pro forma financial information
  • Oversee the financial due diligence process with a key focus on quality of financial information, quality of earnings, analyzing debt and debt-like items and analyzing working capital over multi-year time periods. Review the Target’s audit workpapers when deemed relevant to the transaction.
  • Identify issues for purchase price reductions, deal structuring or deal termination. Identify post-acquisition action steps to achieve anticipated earnings/cash flow improvements. Evaluate effects of seasonality and cyclicality on cash flow requirements. Perform real estate industry and company research. Correlate due diligence findings with client valuations. Manage expectations of service.
  • Lead and coordinate cross disciplined teams comprised of TRE and other transaction professionals (i.e., Tax, Valuation, IT, HR) on client projects.
  • Work directly with engagement executives including Partners, Senior Managers and subject matter experts at EY, as well as executives at the client and the Target.
  • Team with TRE and other Transaction Advisory Service (TAS) professionals at EY on market / commercial diligence.
  • Review the work of Staff and Senior employees.
  • Supervise Staff and Seniors and help develop and guide these professionals by providing effective performance feedback/training and ensuring team responsibilities are consistent with skills and developmental goals. Lead by example.
  • Participate in an entrepreneurial environment while delivering value added advice to clients and contributing ideas to generate new business opportunities, while working with Partners and Senior Managers in the pursuit process. Building client relationships, demonstrating real estate and transaction knowledge that is relevant to market participants.
To qualify, candidates must have:
  • a bachelor's degree and approximately 5+ years of related work experience; or a graduate degree and approximately 4 years of related work experience
  • a degree in accounting is preferred or alternatively a finance or other business discipline maybe considered
  • 5+ years of experience consisting of some combination of at least 1.5+ years of experience in the financial due diligence Transaction Support practice of another Big 4 or national public accounting firm, as well as 3+ years of relevant external audit or other accounting experience.
  • CPA certification or foreign equivalents or successfully passed all (4) sections of the Uniform CPA exam
  • strong analytical and interpersonal skills
