This position supports Chief Legal Officer and Secretary and the Chief of Staff in connection with the Global Legal Organization and the Board of Directors and its Committees.




1. Coordination and preparation of Board and Committee calendars, agendas, and meetings, all in compliance with state, Federal, listing and other requirements, including the Company’s certificate of incorporation, by-laws, governance guidelines and committee charters. 


2. Developing and implementing a monthly Board meeting production schedule to ensure timely preparation and review of all elements of management presentations and other briefing documents for Board and Committee meetings. 


3. Preparing electronic Board materials using the BoardVantage system and securely disseminating them prior to meetings.


4.  Providing onsite support for Board and Committee meetings, and working closely with CEO, directors, HR, Chief of Staff, Chief Legal Officer and Secretary, legal, investor relations, Chief Financial Officer, accounting, internal and external auditors, and compliance in connection with Board and Committee matters.


5. Overseeing all aspects of Board recordkeeping, including ensuring drafts and final documents can be easily distinguished and disposing of drafts in accordance with the Company’s records retention guidelines.


6. Identifying, drafting and distributing draft resolutions necessary for agenda items requiring Board or Committee approval.


7. Assist in drafting and distributing minutes of Board the Committee meetings.


8. Assisting in preparing and distributing onboarding orientation materials, D&O questionnaires, and Board and Committee evaluation materials.


9. Maintaining and updating the governance portion of Colgate’s external website.


10. Providing all necessary administrative support for the Chief Legal Officer and Secretary, including screening and handling of telephone and mail, managing requests and follow-ups (including familiarity with and prioritization of legal matters, booking and supporting all travel (domestic and international), preparing and submitting expense reports, handling correspondence (including familiarity with and prioritization of legal correspondence), coordinating calendar entries and meetings, providing onsite support for off-site meetings when required, maintaining files and records, creating and editing correspondence and presentations, supporting members of the Office of General Counsel (OGC) as needed, coordinating with outside counsel, as needed. May require overtime.


11. Handling all matters with the utmost care and discretion; familiarity with the attorney-client privilege.




Education: Associate Degree or higher

Experience: 10 or more years supporting a General Counsel, Corporate Secretary or equivalentFunctional Experience and Technical Skills: Knowledge of Boardvantage platform, including creating of Board books. Drafting, proofreading, travel, calendaring, expense reporting.  Experience with Board and committee minutes required.  Excellent attention to detail and organizational, project management and collaboration skills required.
